New ESG Ratings Regulation EU – 2024/3005

EU Regulation 2024/3005, published on 12 December 2024 in the Official Journal of the European Union, establishes a comprehensive regulatory framework for Environmental, Social, and Governance (ESG) rating activities in the European Union. The regulation aims to enhance the integrity, transparency, comparability, responsibility, reliability, good governance, and independence of ESG ratings, contributing to the EU’s sustainable finance agenda and preventing green-washing.

Scope and Ratings

  • The regulation applies to ESG ratings issued by providers operating in the EU, including those established outside the EU but distributing ratings within it.
  • Separate E, S, and G ratings should be provided. If a single ESG rating is provided, rating providers must disclose the rate and weight attributed to each dimension.

Authorization and Recognition

  • ESG rating providers must obtain authorization from the European Securities and Markets Authority (ESMA) to operate in the EU.
  • ESG rating providers based outside the EU wishing to operate within the EU must seek official recognition or endorsement by an authorized entity within the Union to prevent regulatory arbitrage.

Organizational Requirements

  • Providers must implement sound governance practices, including policies for independence, conflict of interest management, and rating methodologies.
  • The regulation mandates a clear separation of business activities to prevent conflicts of interest.

Transparency and Disclosure

  • ESG rating providers are required to disclose their methodologies, models, indicators, and key rating assumptions to ensure transparency and comparability.

Supervision and Enforcement

Integration with EU Sustainability Framework

  • The regulation complements other EU sustainability initiatives, such as the Sustainable Finance Disclosure Regulation (SFDR) and the EU Taxonomy Regulation.

These measures collectively aim to improve the quality, reliability, and comparability of ESG ratings used in investment decisions and corporate sustainability assessments across the European Union, fostering a more transparent and sustainable financial market.
